1. Who we are
Black Flag Distribution Pty Ltd ("BFD", "we", "us", "our") operates the website blkflag.com.au and supplies professional cinema, video and broadcast equipment in Australia.

We are committed to protecting your personal information and handling it in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
2. What personal information we collect
Depending on how you interact with us, we may collect:
- Name, business name, position and ABN
- Email address, phone number and postal address
- Delivery and billing addresses
- Account login details, including a hashed password
- Order history, quotes and invoices
- Payment information, processed by our payment providers (we do not store full card numbers on our systems)
- Records of correspondence with us
- Technical information such as IP address, browser type, device type and pages visited
For wholesale account applications we may additionally collect business registration details, trade references and credit information where credit terms are requested.
3. How we collect personal information
We collect personal information:
- Directly from you, when you create an account, place an order, apply for a wholesale account, complete a form, email us or speak to us
- Automatically, through cookies and analytics tools when you use our website
- From third parties, such as credit reporting bodies or trade referees, where you have applied for credit terms

We use your personal information to:
- Create and administer your account
- Process, fulfil and deliver your orders
- Verify wholesale eligibility and apply the correct pricing tier
- Assess applications for credit terms
- Communicate with you about orders, backorders, lead times and support
- Provide warranty and after sales service
- Send marketing communications, where you have consented
- Meet our legal, tax and accounting obligations
- Improve our website and product range
5. Who we disclose your information to
We may disclose your personal information to:
- Shopify, which hosts our online store
- BSS Commerce, which provides our B2B pricing and account functionality
- Payment providers, including PayPal and any card processor we use
- Freight and logistics providers, including Transdirect and its carriers, for the purpose of delivering your order
- Our accounting software provider and our accountant
- Our brand principals and their service centres, where necessary to process a warranty claim or a technical support request
- Professional advisers, including lawyers and insurers
- Government agencies or law enforcement, where required or authorised by law
We do not sell your personal information.
6. Overseas disclosure
Some of our service providers store or process data outside Australia. This includes Shopify (Canada and the United States), our email provider, and brand principals located in the United States and Europe. By providing your personal information to us, you consent to this disclosure. We take reasonable steps to ensure overseas recipients handle your information consistently with the Australian Privacy Principles, but we may not be able to control how they handle it once disclosed.
7. Direct marketing
We may send you marketing communications about products, promotions and events where you have opted in or where you are an existing customer and would reasonably expect to receive them. You can opt out at any time by using the unsubscribe link in any email, or by contacting ryan@blkflag.com.au. We will action opt out requests promptly.
8. Cookies and analytics
Our website uses cookies and similar technologies to keep you logged in, remember your cart, apply your pricing tier, and understand how the site is used. You can disable cookies in your browser, but parts of the site, including logged in pricing and checkout, may not function correctly.
9. Security of your information
We take reasonable steps to protect your personal information from misuse, interference, loss, unauthorised access, modification and disclosure. These steps include encrypted connections, access controls, and use of reputable hosting and payment providers.
No method of transmission or storage is completely secure. We cannot guarantee absolute security, and you provide information to us at your own risk.

10. Retention
We retain personal information for as long as necessary to fulfil the purposes described in this policy, and for as long as required by law. Financial and tax records are generally retained for a minimum of seven years.
11. Access and correction
You may request access to the personal information we hold about you, and ask us to correct it if it is inaccurate, out of date or incomplete. Contact ryan@blkflag.com.au. We will respond within a reasonable period. In limited circumstances we may refuse access, and if we do, we will tell you why in writing.
12. Complaints
If you believe we have breached the Australian Privacy Principles, please contact us at ryan@blkflag.com.au. We will acknowledge your complaint and aim to respond within 30 days.
If you are not satisfied with our response, you may complain to the Office of the Australian Information Commissioner at oaic.gov.au or on 1300 363 992.
13. Changes to this policy
We may update this policy from time to time. The current version will always be published on our website. Material changes will be notified to account holders by email.

These terms govern your account with Black Flag Distribution Pty Ltd and any order you place through blkflag.com.au. By creating an account or placing an order, you agree to be bound by them.
1. Accounts and eligibility
1.1 You must provide accurate, current and complete information when creating an account, and keep it up to date.
1.2 Wholesale accounts are granted at our discretion. Applications and enquiries should be directed to accounts@blkflag.com.au. We may request business registration details, an ABN, trade references and credit information. We may approve, decline or revoke a wholesale account at any time.
1.3 Wholesale pricing is confidential to you. You must not disclose it to any third party, including other resellers or end customers.
2. Account security
2.1 You are responsible for keeping your account login credentials secure and confidential.
2.2 You must not share your login with any person outside your organisation, and you must ensure that any person within your organisation who uses your account is authorised to place orders and commit to payment on your behalf.
2.3 You must use a strong, unique password, and must not reuse a password that you use on other services.
2.4 You are responsible for all activity that occurs under your account, including all orders placed and all payment obligations incurred, whether or not you personally authorised them. An order placed using your login credentials is treated as an order placed by you.
2.5 You must notify us immediately at accounts@blkflag.com.au if you become aware of, or suspect, any unauthorised access to or use of your account. Until you notify us and we confirm the account is secured, you remain liable for activity on the account.
2.6 We may suspend or terminate your account at any time if we reasonably believe it has been compromised, or that these terms have been breached.
3. Pricing
3.1 Prices displayed to visitors who are not logged in are recommended retail prices in Australian dollars and include GST.
3.2 Prices displayed to approved wholesale account holders reflect that account's pricing tier.
3.3 We may change prices at any time without notice. The price applicable to an order is the price displayed at the time the order is accepted by us.
3.4 We reserve the right to correct pricing errors, including after an order has been placed. If a price is corrected after you order, we will contact you and you may cancel the order without penalty.
4. Orders and acceptance
4.1 Your order is an offer to purchase. A contract is formed only when we accept the order, which occurs when we issue an order confirmation or dispatch the goods, whichever is earlier.
4.2 We may decline or cancel any order at our discretion, including where stock is unavailable, where a pricing error has occurred, or where we are unable to verify your details.
4.3 Product images, descriptions and specifications are provided by our brand principals and are indicative only. Specifications may change without notice.
5. Payment and your obligation to pay
5.1 By placing an order through the website, you commit to pay for the goods ordered. This obligation applies whether the goods are held in stock, on backorder, or ordered in specifically to fulfil your order.
5.2 Indent and special order stock. Where goods are not held in stock and are ordered in from our supplier to fulfil your order, that order is binding and cannot be cancelled once we have placed the corresponding purchase order with our supplier. You remain liable for the full order value.
5.3 Unless we have granted you written credit terms, payment is required in full before dispatch. Payment queries should be directed to accounts@blkflag.com.au.
5.4 Where written credit terms have been granted, payment is due 30 days from the end of the month in which the invoice is dated. For example, an invoice dated 5 March is due on 30 April.
5.5 If payment is not received by the due date, we may:
- charge interest on the overdue amount at the Reserve Bank of Australia cash rate plus 5 per cent per annum, calculated daily from the due date until payment is received in full;
- suspend or cancel your account and any pending orders;
- withhold delivery of any goods, including goods already paid for under other orders;
- recover from you all costs of collection, including debt recovery agency fees and legal costs on a full indemnity basis.
5.6 Where an order requires us to commit to a supplier purchase and payment has not been received within the required time frame, we may cancel the order and you remain liable for any costs, freight, currency losses or restocking charges we incur as a result.
6. Delivery, and accuracy of the delivery address
6.1 You are solely responsible for the accuracy of the delivery address you enter when placing an order.
6.2 We despatch goods to the address entered on the order. We do not verify, check or amend delivery addresses.
6.3 We accept no responsibility, and bear no liability, for goods delivered to an incorrect, incomplete, outdated or otherwise erroneous address entered by you. Where goods are delivered to an address you entered, delivery is deemed complete and your payment obligation stands in full.
6.4 If you identify an error in the delivery address, you must notify us immediately at sales@blkflag.com.au. If the goods have not yet been despatched we will use reasonable efforts to correct the address. Once goods have been despatched, we are unable to redirect them, and any redirection or recovery is a matter between you and the carrier, at your cost.
6.5 Any redelivery, storage, return or recovery charges arising from an incorrect address entered by you are payable by you.
6.6 Delivery time frames are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, suppliers or events beyond our reasonable control.
7. Risk and title
7.1 Risk in the goods passes to you on despatch from our premises or those of our supplier.
7.2 Title in the goods does not pass to you until we have received payment in full. Until title passes, you hold the goods as bailee, must store them separately and identifiably, and must keep them insured.
7.3 We may register a security interest under the Personal Property Securities Act 2009 (Cth) in respect of goods supplied.
8. Returns and warranty
8.1 Returns are governed by our Returns Goods Policy, available on request from sales@blkflag.com.au and published on our website.
8.2 Goods correctly supplied are not returnable for change of mind. Where we agree at our discretion to accept a change of mind return, a restocking fee may apply and the goods must be unused and in original packaging.
8.3 Warranty claims are handled in accordance with the manufacturer's warranty for the relevant brand.
9. Limitation of liability
9.1 Nothing in these terms excludes, restricts or modifies any right or remedy, guarantee, warranty or other term implied or imposed by the Australian Consumer Law or any other law which cannot lawfully be excluded or limited.
9.2 To the maximum extent permitted by law, and subject to clause 9.1, our total liability arising out of or in connection with any order is limited, at our option, to:
- replacing the goods;
- repairing the goods;
- supplying equivalent goods; or
- refunding the price paid for the goods.
9.3 To the maximum extent permitted by law, we are not liable for any indirect, consequential, special or economic loss, including loss of profit, loss of revenue, loss of production time, loss of hire income, or loss of opportunity.
10. Governing law
These terms are governed by the laws of Queensland, Australia. You submit to the non exclusive jurisdiction of the courts of Queensland.
11. Changes to these terms
We may update these terms from time to time. The version in force at the time you place an order applies to that order. Material changes will be notified to account holders by email.
